Scope. This Terms of Use Agreement ("Terms of Use", and together with any applicable Supplemental Terms (as defined in Section 1.4 (Supplemental Terms)), the "Agreement") describes the terms and conditions that apply to your use of (1) the websites located at https://www.sophieconnects.com/, https://Bravy.com and their related subdomains (collectively, the "Website"), (2) Bravy's mobile application, which we offer subject to these Terms of Use (the "App"), and (3) the services, content, and other resources available on or enabled via our Website, phone numbers, or the App, including Bravy's chatbots or voice assistants powered by generative AI (each and collectively, "AI Assistant" and, collectively, with the App and Website and the content and services).
Service Description: SophieConnects brings together adults 50+ for AI-curated group activities and real-world friendships. Our virtual assistant, Sophie AI, helps with registration, user verification, and introductions to members who share similar interests, hobbies, or life experiences. Once a group is formed (typically six or more people), Sophie AI coordinates an in-person gathering - such as a shared hobby session, an outing, or group event - so members can meet face-to-face and enjoy time together offline.
For clarity: SophieConnects is not a dating service and not a social media platform. Too many people spend too much time scrolling on their phones. SophieConnects exists to help find like-minded people and join group activities offline, not online.
Introductions via Phone or App: When a potential group has been identified, we facilitate a brief phone or app-based introduction. Sophie, our AI assistant, will initiate a moderated call that connects group members. During this call, Sophie helps the conversation start naturally, reminds participants of our community guidelines, and monitors for inappropriate language, abuse, or suspected scams.
Best-Effort Introductions: All introductions are provided on a best-effort basis. We do not guarantee that we'll find a suitable group or provide a minimum number of introductions. While we aim to connect you with like-minded people, we cannot promise that every group will align perfectly with your interests or expectations. Some introductions may be a loose fit. By using the Service, you acknowledge and accept this as part of the experience.
No Guarantee of Group Connection: We may, at our discretion, decline or delay arranging an introduction or group call for any user. There is no assurance that a particular introduction, group formation, or call will take place. Availability of other participants, compatibility criteria, or technical limitations may prevent a meeting from being arranged. You acknowledge that group introductions are not guaranteed.
Facilitation Only: SophieConnects' role is limited to facilitating introductions and helping users start conversations. What happens afterward - including whether participants decide to continue communicating or meet in person - is entirely up to the users involved. SophieConnects is not a dating service, employment agency, or matchmaking provider. We simply provide a structured way for people to connect and plan offline group activities.
PLEASE NOTE THAT OUR SERVICE, INCLUDING ANY AI ASSISTANTS, IS PROVIDED SOLELY FOR ENTERTAINMENT PURPOSES. THE AI ASSISTANTS ARE NOT LICENSED THERAPISTS, OR ANY OTHER LICENSED PROFESSIONAL SERVICE PROVIDERS.
ACCORDINGLY, THE SERVICE:

PLEASE READ THIS AGREEMENT CAREFULLY. THIS AGREEMENT GOVERNS THE USE OF THE SERVICE AND APPLIES TO ALL USERS VISITING OR ACCESSING THE SERVICE. BY ACCESSING OR USING THE SERVICE IN ANY WAY, ACCEPTING THIS AGREEMENT BY CLICKING ON ANY "I ACCEPT" BUTTON, "CONTINUE" BUTTON, COMPLETING THE ACCOUNT REGISTRATION PROCESS, BROWSING THE WEBSITE OR DOWNLOADING THE APP, YOU REPRESENT THAT: (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THIS AGREEMENT, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH US, (3) YOU ARE NOT BARRED FROM USING THE SERVICE UNDER THE LAWS OF THE UNITED STATES, YOUR PLACE OF RESIDENCE OR ANY OTHER APPLICABLE JURISDICTION; AND (4) YOU HAVE THE AUTHORITY TO ENTER INTO THIS AGREEMENT PERSONALLY OR, IF YOU ARE ACCESSING OR USING THE SERVICE ON BEHALF OF AN ENTITY, ON BEHALF OF THE ENTITY IDENTIFIED IN THE ACCOUNT REGISTRATION PROCESS.
SECTION 15 (ARBITRATION AGREEMENT) CONTAINS PROVISIONS THAT GOVERN HOW TO RESOLVE DISPUTES BETWEEN YOU AND US. AMONG OTHER THINGS, SECTION 15 INCLUDES AN AGREEMENT TO ARBITRATE WHICH REQUIRES, WITH LIMITED EXCEPTIONS, THAT ALL DISPUTES BETWEEN YOU AND US SHALL BE RESOLVED BY BINDING AND FINAL ARBITRATION. SECTION 15 ALSO CONTAINS A CLASS ACTION AND JURY TRIAL WAIVER. PLEASE READ SECTION 15 CAREFULLY.
Group Connection Service: The Services include SophieConnects' group connection service, which uses our proprietary technology - including AI assistants - to understand your interests and identify groups of users with compatible hobbies, lifestyles, or goals (each, a "Group Connection"). The Service enables you to communicate with those Group Connections and, when possible, participate in group activities or in-person gatherings.
Availability: Our group connection service is currently available only in select geographic areas within the United States, as listed on the Service.
Profile Information: The Service provides tools that let you control how certain parts of your profile and other content are shared with other users.
Honesty: Our Group Connection process depends on members being honest and transparent. You agree that all information and content you provide will be accurate, complete, and kept up to date.
IRL Interactions: Please use caution in interacting with other users, whether on- or offline, just as you would in any real-world interaction. Unless otherwise expressly set forth on the Services, Bravy does not do any background checks or checks of criminal histories, or otherwise verify the identity of any users. You should never send money to or share financial information with other users.
Sharing contact details: You are not allowed to share contact information such as phone numbers, email addresses, or social media profiles during your introductions or in the public profile. Bravy may remove or delete such information without prior notice.
No Guarantees: Unfortunately we cannot guarantee that you will be satisfied with any Connection or that any Connection will meet your needs. Bravy makes no representations about the suitability, reliability, timeliness or accuracy of any Connection or any other user.
NEITHER BRAVY NOR ITS AFFILIATES OR LICENSORS IS RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE SERVICES. BRAVY AND ITS AFFILIATES AND LICENSORS WILL NOT BE LIABLE FOR ANY CLAIM, INJURY OR DAMAGE ARISING IN CONNECTION WITH YOUR INTERACTIONS WITH OTHER USERS OF THE SERVICES ON OR OFF THE SERVICE.
Our AI Assistants use certain generative AI technologies (including AI services provided by third parties, collectively referred to as the "AI Tools") to collect, analyze, and resolve user calls, prompts, and requests in connection with our group connection service. By using or interacting with the AI Assistants, you consent and authorize Bravy to share any content or information you provide with the AI Tools as needed to process and fulfill your request.
YOU, AND NOT BRAVY, SHALL BE SOLELY RESPONSIBLE FOR YOUR USE OF THE AI ASSISTANT. BECAUSE AI ASSISTANTS UTILIZE ARTIFICIAL INTELLIGENCE TO COMMUNICATE WITH YOU, OUR AI ASSISTANTS MAY PROVIDE INFORMATION THAT IS AN INACCURATE OR INAPPROPRIATE RESPONSE TO YOUR REQUESTS. THE AI ASSISTANTS ARE NOT HUMAN, AND ARE NOT, AND ARE NOT INTENDED TO BE, A SUBSTITUTE FOR ANY PROFESSIONAL SERVICES.
App License: Subject to your compliance with this Agreement, Bravy grants you a limited non-exclusive, non-transferable, non-sublicensable, revocable license to download, install and use a copy of the App on a single Device that you own or control and to run such copy of the App solely for your own personal use.
Text Message Services: Bravy may offer one or more mobile message programs that allows users to receive SMS/MMS mobile messages by opting-in. We do not charge for the Message Service, but you are responsible for all charges and fees associated with mobile messaging imposed by your wireless carrier. Message and data rates may apply. You may opt out by replying STOP, END, CANCEL, or UNSUBSCRIBE to any mobile message.
In order to access certain features of the Service, you may be required to register an account. You shall provide true, accurate, current, and complete information. You are responsible for all activities that occur under your Account. You may not share your Account or password with anyone. You shall not have more than one Account at any given time.
You may share or upload Content through the Service, including prompts, comments, questions, and other input that you provide to the AI Assistants. You are entirely responsible for all Input that you upload, share, post, or otherwise make available through the Service.
Ownership: Bravy does not claim ownership of any Inputs or Outputs. Subject to the license grant, as between Bravy and you, you are the owner of all right, title and interest in Your Content.
License to Your Content: You grant Bravy a non-exclusive, transferable, perpetual, irrevocable, worldwide, fully-paid, royalty-free, sublicensable right and license to use, copy, reproduce, modify, adapt, prepare derivative works from, translate, distribute, publicly perform, publicly display and derive revenue from Your Content for the purposes of operating and providing the Service.
Content Restrictions: You must not share Content that is unlawful, threatening, abusive, harassing, defamatory, deceptive, fraudulent, invasive, obscene, or profane; infringes intellectual property rights; contains viruses; or involves commercial activities such as advertising or pyramid schemes.
Except with respect to Your Content, you agree that Bravy and its suppliers or licensors own all rights, title and interest in the Service. "Bravy", "SophieConnects", and all related logos and service marks are trademarks of Bravy and may not be used without permission.
You shall not: license, sell, rent, or commercially exploit the Service; frame or use framing techniques; use metatags or hidden text; modify, decompile, or reverse engineer any part of the Service; use scrapers, robots, or data mining tools; impersonate any person; or interfere with the proper functioning of the Service.
Bravy may, but is not obligated to, investigate, monitor, pre-screen, remove, refuse, or review the Service and/or Content at any time. You acknowledge and agree that you have no expectation of privacy concerning the transmission of Your Content.
You are solely responsible for your interactions with other users. The Service may contain links to third-party websites, applications, and services. Bravy is not responsible for any Third-Party Services.
Connection Packs: A "Connection Pack" entitles you to send your contact details to the number of members specified at purchase. You will be charged a one-time, upfront Connection Pack Fee. Connection Packs do not auto-renew. Any unused Connections expire twelve (12) months after the purchase date.
Refund Policy: You are entitled to a refund if (a) no Connections have been used within six (6) months of joining the platform, or (b) if you can provide evidence that you moved out of the SophieConnects Service Area, and (c) you have been an active and participatory member. Further details are available on our Refund Policy page.
You shall indemnify and hold Bravy Parties harmless from any losses, costs, liabilities and expenses relating to or arising out of: Your Content; your use of the Service; your violation of this Agreement; your violation of any rights of another party; or your violation of any applicable laws.
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK, AND THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS. THE BRAVY PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE BRAVY PARTIES SHALL NOT BE LIABLE TO YOU FOR MORE THAN THE GREATER OF (a) THE TOTAL AMOUNT PAID TO BRAVY BY YOU DURING THE THREE-MONTH PERIOD PRIOR TO THE ACT GIVING RISE TO SUCH LIABILITY; (b) $100; OR (c) IF APPLICABLE, THE STATUTORY REMEDY OR PENALTY IMPOSED BY THE STATUTE UNDER WHICH SUCH CLAIM ARISES.
It is Bravy's policy to terminate membership privileges of any user who repeatedly infringes copyright, trademark, or other intellectual property rights. Contact: Bravy Inc. ATTN: LEGAL DEPARTMENT, 200 Continental Drive Suite 401, Newark, DE 19713.
The term of this Agreement commences when you accept this Agreement and continues while you use the Service. Bravy reserves the right to terminate this Agreement or your access at any time. If you want to terminate, you may do so by notifying Bravy and closing your Account.
The Service is controlled and offered by Bravy from its facilities in the United States of America. Those who access or use the Service from other countries do so at their own volition and are responsible for compliance with local law.
Subject to the terms of this Arbitration Agreement, you and Bravy agree that any dispute, claim, or disagreement arising out of or relating to your access to or use of the Service will be resolved by binding arbitration, rather than in court, except that: (a) you and Bravy may assert claims in small claims court if claims qualify; and (b) you or Bravy may seek equitable relief in court for infringement or other misuse of intellectual property rights.
Informal Dispute Resolution: Before commencing arbitration, parties will meet and confer telephonically or via videoconference in good faith to resolve the dispute. Notice to Bravy should be sent to support@sophieconnects.com or by mail to 200 Continental Drive Suite 401, Newark, DE 19713.
WAIVER OF JURY TRIAL: YOU AND BRAVY HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.
WAIVER OF CLASS ACTION: EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, REPRESENTATIVE, OR COLLECTIVE BASIS.
30-Day Right to Opt Out: You have the right to opt out by sending written notice to: 200 Continental Drive Suite 401, Newark, DE 19713, within thirty (30) days after first becoming subject to this Arbitration Agreement.
Electronic Communications: You consent to receive communications from Bravy in electronic form.
Governing Law: This Agreement will be governed by the laws of the State of New York, consistent with the Federal Arbitration Act.
Exclusive Venue: All claims and disputes will be litigated exclusively in the state or federal courts located in New York City, New York.
